Terms of Service — LeadGenRunner

1. Acceptance of Terms

By creating an account, accessing, or using LeadGenRunner ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree to these Terms, do not use the Service.

These Terms incorporate our Privacy Policy by reference. Together, they constitute the entire agreement between you and LeadGenRunner.

2. Description of Service

LeadGenRunner is a SaaS platform that:

Monitors user-specified Telegram groups and channels for keyword matches using the official Telegram API (MTProto)
Captures matching messages and metadata (sender name, message text, chat information, timestamps)
Uses AI (powered by OpenAI) to classify leads as hot, warm, or cold and generate suggested replies
Provides analytics, notification bot, and channel discovery features

The Service operates through your own authorized Telegram account. AI-powered features are advisory in nature — we do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.

3. Eligibility

To use the Service, you must:

Be at least 18 years old
Have the legal capacity to enter a binding agreement
Have a valid, personal Telegram account in good standing
Not have been previously banned from the Service

4. Account Registration and Security

You agree to provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4.1 Telegram Account Authorization

By authorizing your Telegram account, you acknowledge that:

The Service will access your Telegram account via the official Telegram MTProto API
Your Telegram session credentials are stored in encrypted form on our servers
You may revoke authorization at any time from the Telegram app or from our dashboard
You are solely responsible for your Telegram account and compliance with Telegram's Terms of Service

5. Subscription Plans and Billing

5.1 Plans

The Service offers the following subscription plans: Starter ($9/month), Pro ($29/month), Business ($59/month), Agency ($99/month), and Enterprise (custom pricing). Plan features and limits are described on our pricing page.

5.2 Billing

All payments are processed by Stripe. By making a payment, you agree to Stripe's terms.
Subscriptions auto-renew unless cancelled before the renewal date.
You authorize recurring charges to your payment method.
You are responsible for applicable taxes (VAT, sales tax) based on your jurisdiction.

5.3 Refund Policy

Monthly subscriptions are non-refundable. Upon cancellation, access continues through the end of the current billing period. No prorated refunds are issued for mid-cycle cancellations.

5.4 Price Changes

We will provide at least 30 days advance notice of price changes. Continued use after the effective date constitutes acceptance.

6. Telegram Account Authorization and Risks

This is an important section. Please read carefully.

By using the Service, you understand and accept that:

Using third-party applications to access Telegram may carry risks, including potential account restrictions or bans by Telegram
Telegram may change its API, terms, or enforcement policies at any time without notice
The Service has no control over Telegram's platform decisions
Message delivery, access to groups/channels, and API availability are subject to Telegram's sole discretion
The Service cannot guarantee that your Telegram account will remain in good standing or that API access will continue

You assume all risk related to the use of your Telegram account with the Service, including but not limited to temporary or permanent account suspension by Telegram. The Service will make reasonable efforts to comply with Telegram's API Terms, but cannot guarantee that Telegram will not change its policies.

7. AI Features Disclaimer

AI features (lead classification, suggested replies, keyword generation, channel discovery ranking) are provided via third-party AI services (currently OpenAI).

No guarantee of accuracy: AI outputs may be inaccurate, incomplete, or inappropriate. They should not be relied upon without human review.
Not professional advice: AI-generated content is informational/advisory only, not professional, legal, or business advice.
Your responsibility: You are solely responsible for reviewing and approving any AI-generated content before sending or acting on it.
Data processing: Message content is sent to OpenAI for processing. Refer to our Privacy Policy for details.
Changes: The underlying AI model, provider, or capabilities may change at any time.

8. Acceptable Use Policy

8.1 Permitted Uses

Monitoring Telegram groups/channels you are a legitimate member of for business lead generation
Using AI classification to prioritize and organize leads
Reviewing and sending (after human review) AI-suggested replies

8.2 Prohibited Uses

You agree NOT to use the Service for:

Spam: Sending unsolicited bulk messages or automated outreach without human oversight
Harassment: Monitoring individuals for purposes of harassment, intimidation, or stalking
Scraping: Systematically scraping or aggregating Telegram data beyond the scope of lead generation
Surveillance: Unauthorized surveillance of individuals or groups
Illegal activities: Any use that violates applicable laws, including data protection laws (GDPR, CCPA), anti-spam laws, or Telegram's ToS
Circumvention: Attempting to bypass rate limits, usage quotas, or access controls
Reselling: Sharing credentials or reselling Service access without authorization
Impersonation: Using AI-generated replies to impersonate other individuals or entities

Violation of this policy may result in immediate account termination without refund.

9. Data Handling and Privacy

Our collection, use, and protection of your data is described in our Privacy Policy. Key points:

We process personal data of third-party Telegram users (message senders) under the legal basis of legitimate interest
Sub-processors include: OpenAI (AI processing), Stripe (payments), and our hosting provider
Data is retained while your account is active. Upon account deletion, all data is permanently removed within 30 days
We do not sell, trade, or rent your personal information to third parties

10. Intellectual Property

Service: The Service, its code, design, features, and branding are the intellectual property of LeadGenRunner
Your content: You retain ownership of your configurations, keywords, and custom settings. You grant us a limited license to use this content solely to operate the Service
Lead data: Message content originates from third-party Telegram users. You receive a limited right to use lead data solely for your legitimate business purposes in accordance with applicable law
Feedback: Any feedback or suggestions you submit may be used by us without restriction or compensation

11. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The Service will be uninterrupted, error-free, or secure
Lead data or AI outputs will be accurate or complete
The Service will be compatible with your Telegram account status
Telegram will continue to permit API access
The Service will detect all relevant messages or leads

12. Limitation of Liability

To the maximum extent permitted by applicable law, LeadGenRunner's total aggregate liability shall not exceed the greater of (a) fees paid by you in the 12 months preceding the claim, or (b) $100.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, data, or business opportunities
Loss of Telegram account access or account bans/restrictions
Inaccuracy of AI-generated classifications or suggested replies
Loss or corruption of lead data
Changes to Telegram's API, terms, or platform
Missed leads or monitoring gaps
Actions taken by you based on AI-generated suggestions

13. Indemnification

You agree to indemnify, defend, and hold harmless LeadGenRunner from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms or the Acceptable Use Policy
Your violation of Telegram's Terms of Service
Your violation of any applicable law (including GDPR, CCPA, anti-spam laws)
Your use or misuse of lead data
Your sending of messages (including AI-suggested replies) through Telegram
Third-party claims related to your Telegram account activity

14. Termination

14.1 By You

You may cancel your subscription at any time from your account settings. Access continues through the end of the current billing period.

14.2 By Us

We may suspend or terminate your account for violation of these Terms, non-payment, legal requirements, or Telegram API access revocation.

14.3 Effect of Termination

Immediate loss of access to the Service
Lead data retained for 30 days post-termination for export, then permanently deleted
Telegram session disconnected
Outstanding fees remain due

15. Dispute Resolution

Before initiating any formal proceedings, you agree to attempt to resolve disputes informally by contacting us at danpetrov42@gmail.com. We will attempt to resolve the dispute within 30 days.

These Terms are governed by the laws of Poland. Any disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

16. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days advance notice via email or prominent notice on the website. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
